Outsourcing contracts of all shapes and sizes have been drafted and negotiated in ever increasing numbers since the early 1990s and the size of the market has increased (and continues to increase) dramatically. As these contracts come up for renewal it is useful to reflect on what has worked and what has not. This session focuses on some of the issues currently troubling customers, service providers and advisers with their outsourcing contracts:

  • considering the appropriateness of post-contract verification
  • ensuring balanced step-in rights
  • getting the most from benchmarking provisions
  • best practice for contract renewals and exit management

Speaker Profile

Dr Sam De Silva is Partner at leading law firm Manches LLP. Sam is the Head of IT and Outsourcing at Manches LLP. Sam is a regular speaker at BCS events and is published widely, speaks regularly on outsourcing and technology law topics and is the Chairperson of the Law Society's Technology and Law Reference Group. In addition to his LLB and Masters in Business Law, Sam has post-graduate degrees in information technology and business administration so is well aware of the commercial, business and technical issues facing both users and suppliers of technology. Sam is also one of very few solicitors who is a Fellow of the Chartered Institute of Purchasing and Supply (FCIPS), Fellow of the British Computer Society (FBCS) and a Chartered IT Professional (CITP). Sam also has in-house industry legal experience having been seconded to Accenture UK as a senior legal counsel.
