Something that many of us are involved with or have responsibility for, whether as a customer or a supplier. This event - being hosted and presented by Ogier - will give an overview of what to look-out for, to avoid what can become costly mistakes.

Speaker bios:

Raulin is a Partner in Ogier‘s Jersey practice. He is an English Solicitor and an Advocate of the Royal Court of Jersey. He joined Ogier in 2000 and became a partner in 2007. He is a member of the corporate and investment funds teams within Ogier and is involved in a wide range of local and international corporate M&A, capital markets, joint venture, restructuring and commercial transactions as well as advising on private equity and other investment funds.

Raulin is a member of the Jersey Law Society and is also a director of Ogier Corporate Finance Limited, which acts as sponsor to issuers listing securities on the Channel Islands Stock Exchange.

Sara Johns is a Managing Associate in Ogier‘s Jersey office. Her practice centres mainly on corporate/commercial and competition law. She also advises on e-commerce, data protection and IP issues from an offshore perspective.

Sara’s corporate practice focuses on mergers and acquisitions and capital markets transactions involving offshore structures. She also regularly advises on private equity fundraisings, joint ventures, restructurings and bank financings.

Prior to joining Ogier in 2003, Sara worked as a corporate lawyer in London, where she advised companies in the technology arena on a broad range of corporate and commercial matters.

Recent representative transactions include advising:

  • Moody’s Corporation on its acquisition of a majority stake in the companies of Copal Partners which are among the world’s leading providers of outsourced research and analytical services to institutional customers.
  • Jersey-incorporated Amstelco Plc on its US$200 million collaboration with PetroSaudi International Limited, a privately held oil and gas company with international investments
  • Waitrose, a leading UK supermarket, on its entry into the Channel Islands by means of the acquisition of five supermarkets in Jersey and Guernsey from the Sandpiper CI Group
  • RBC on its acquisition of Mourant Private Wealth, which added a further £3.5bn of assets under management to RBC

Complimenting the corporate finance side of her practice, Sara also specialises in Jersey competition law and, in particular, has advised on the competition law aspects of numerous mergers and acquisitions. Sara is a Jersey Non-Governmental Advisor to the International Competition Network.
